These Terms of Use (“Terms”) govern access to and use of the Overhead Camera iPhone application, this website, the user manual, related documentation and support (together, the “Services”). The Services are provided by Coyotiv GmbH, c/o Factory Works GmbH, Rheinsberger Straße 76/77, 10115 Berlin, Germany (“Coyotiv”, “we”, “us” or “our”).
By downloading, purchasing, installing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. What Overhead does
Overhead is a camera-display utility for supported iPhones. It can configure supported rear-camera controls, process the live on-device preview for selected looks or monitoring aids, save camera setups and remove its interface for a clean display-capture workflow.
Overhead does not itself record a photo, video, RAW file, Log master or ProRes master. Any mirroring, streaming or recording of the iPhone display is performed by the operating system or third-party software chosen by the user and is governed by that provider’s terms.
2. Eligibility and safe use
You must be legally capable of entering into a binding contract. A minor may use the Services only with the involvement and supervision of a parent or legal guardian.
You are responsible for mounting the iPhone safely, using suitable clamps and safety restraints, protecting people and property below the device, managing cables, power and heat, and operating the camera in compliance with privacy, workplace and recording laws. Do not rely on Overhead as a safety system.
3. Agreement with Apple
When Overhead is obtained through Apple’s App Store, these Terms are between you and Coyotiv, not Apple. Coyotiv is responsible for Overhead and its content, subject to these Terms and applicable law. Apple has no obligation to provide maintenance or support except where required by law. Your use must also comply with Apple’s applicable Media Services Terms, App Store Usage Rules and device terms.
4. License
Subject to these Terms and payment of the applicable App Store price, Coyotiv grants you a limited, personal, non-exclusive, non-transferable and revocable license to install and use Overhead on Apple devices that you own or control, as permitted by Apple’s usage rules. The license is for use of the object-code application and accompanying documentation; no ownership in the software is transferred.
5. Purchase and price
Overhead is intended to be offered as a one-time paid App Store application with a United States base customer price of USD $9.99. Apple may display local currency equivalents, taxes or storefront-specific prices. The price presented by Apple immediately before purchase controls.
Apple processes payment, receipts, refunds and purchase history. Coyotiv does not receive complete card, bank-account, billing-address or Apple ID credentials. Refund requests must normally be submitted through Apple and remain subject to mandatory consumer law.
6. Camera capabilities and compatibility
Available lenses, frame rates, focus modes, ISO ranges, shutter durations, white-balance controls, torch operation, zoom ranges and minimum focus distances depend on the iPhone, active camera, selected capture format, iOS version and physical conditions.
We do not promise that every control will be available on every iPhone, that every future iOS version will preserve current behavior, or that third-party screen-capture software will remain compatible. You should test the complete workflow before a live session, commercial shoot or other time-critical use.
7. User files, LUTs and saved setups
You retain ownership of the shot names, presets, framing bookmarks and LUT files that you create or import (“User Content”). You represent that you have the rights required to use imported files and that they do not contain unlawful or malicious material.
You are responsible for maintaining independent copies of important LUT files and documenting critical camera setups. Device failure, app deletion, iCloud settings, synchronization conflicts, operating-system changes or storage corruption may result in loss. We do not guarantee that User Content will always remain available or recoverable.
8. iCloud
If enabled, Overhead uses Apple iCloud services to sync saved setups, framing bookmarks, imported LUT files and application preferences through the Apple account signed into the iPhone. Coyotiv does not operate an Overhead account system or application database and cannot access the user’s private iCloud container.
iCloud availability, retention, security and account access are also governed by Apple’s terms. You are responsible for protecting your Apple account and choosing whether to use sync.
9. Acceptable use
You may not:
- copy, modify, translate or create derivative works from the Services except where expressly permitted by law;
- reverse engineer, decompile or disassemble the application except to the limited extent that such a restriction is prohibited by law;
- circumvent purchase, license, access-control, copy-protection or security mechanisms;
- redistribute, rent, lease, sell, sublicense or commercially provide the application to another person;
- remove or alter copyright, trademark or proprietary notices;
- use the Services to violate intellectual-property, privacy, recording, export-control or other applicable laws;
- introduce malware, interfere with the Services or attempt unauthorized access to systems or data; or
- use Overhead branding in a way that implies sponsorship or endorsement without written permission.
10. Updates and changes
We may provide updates, compatibility changes, security fixes and new versions. We may add, change or discontinue features for product, legal, security, technical or commercial reasons. An update may be required to continue using some features. Nothing in this section limits mandatory consumer rights.
11. Intellectual property and feedback
The application, code, interface, graphics, icon, website, documentation and Overhead name are owned by Coyotiv or its licensors and protected by applicable intellectual-property laws. Third-party names and products remain the property of their owners.
If you send suggestions, bug reports or feature requests, you permit us to use that feedback without payment or attribution for product development and other lawful purposes. This does not transfer ownership of your photographs, camera output, LUTs or other creative work.
12. Privacy
Our handling of personal data is described in the Overhead Privacy Policy. The application has no Coyotiv account, advertising, tracking or third-party analytics SDK. Third-party capture software and imported files may be governed by separate policies.
13. Availability, maintenance and support
We aim to provide a reliable application but do not guarantee uninterrupted or error-free operation. Maintenance and support requests can be submitted through Overhead Support. We do not guarantee that every request will produce a fix, feature change or data restoration.
14. Disclaimers
To the maximum extent permitted by law, the Services are provided “as is” and “as available”. We do not warrant that the Services will meet every professional requirement, remain compatible with every device or third-party application, operate without interruption, or prevent image, focus, exposure, color, synchronization or data errors.
Some jurisdictions do not permit certain warranty exclusions. In those jurisdictions, the exclusions apply only to the extent legally permitted. Mandatory statutory warranties and consumer rights remain unaffected.
15. Limitation of liability
To the maximum extent permitted by law, Coyotiv and its directors, employees, contractors, affiliates and licensors will not be liable for indirect, incidental, special, punitive or consequential loss, including lost revenue, business opportunities, recordings, footage, setups, files, production time or equipment use.
To the maximum extent permitted by law, our aggregate liability arising from the Services or these Terms will not exceed the greater of the amount paid for Overhead or EUR 100. These limitations do not apply where liability cannot lawfully be excluded or limited, including fraud, intentional misconduct, or death or personal injury caused by negligence where applicable law prohibits limitation.
16. Product and intellectual-property claims
Coyotiv, not Apple, is responsible for addressing claims relating to Overhead or your possession and permitted use of it, including product-liability, legal-compliance and intellectual-property claims, subject to these Terms and applicable law.
17. Termination
You may stop using Overhead and delete it at any time. We may terminate the license where you materially or repeatedly violate these Terms, create a legal or security risk, or where required by law. Provisions intended by their nature to survive termination—including intellectual property, disclaimers, liability and governing law—remain effective.
18. Export control
You may not use, export, re-export, transfer or release the Services in violation of applicable export-control, sanctions or trade-restriction laws.
19. Governing law and disputes
These Terms are governed by the laws of Germany, excluding conflict-of-law rules. If you are a consumer, this choice does not deprive you of mandatory protections under the law of your country of residence. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
We ask that you first contact us and make a reasonable attempt to resolve a dispute informally. Courts in Berlin, Germany have jurisdiction except where mandatory consumer law permits proceedings in another court.
20. Changes to these Terms
We may update these Terms to reflect changes to the Services, law, security, business practices or technical requirements. The current version will be published here with a revised date. Where required, material changes will receive additional notice.
21. Apple as third-party beneficiary
Apple and its subsidiaries are third-party beneficiaries of these Terms as they relate to an Overhead application obtained through Apple’s App Store. After acceptance, Apple has the right to enforce the relevant App Store provisions against you.
22. General terms
If a provision is unlawful or unenforceable, it will be enforced to the greatest extent permitted and the remaining provisions remain effective. Failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent. We may assign them as part of a merger, restructuring, acquisition or transfer of the Services, provided mandatory rights are not reduced.
